These Terms of Service (“Terms”) govern your access and use of the invup website, products, and services (collectively, the “Services”) provided by Tinsight inc. (“invup,” “we,” “us,” or “our”). 4.1 invup IP: All content, trademarks, logos, and materials provided through the Services are owned by or licensed to Tinsight inc. Nothing in these Terms grants you rights to use any of our trademarks or other intellectual property, except as expressly permitted by these Terms.

5.1 Confidential Information: You may receive confidential or proprietary information from us as part of the Services. You agree not to disclose, reproduce, or use any such information for any purpose other than using the Services as intended.

6. Warranties and Disclaimers

You agree to indemnify, defend, and hold harmless invup and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Services, your violation of these Terms, or your violation of any applicable law or regulation.

We may update these Terms from time to time. If we make material changes, we will provide notice through our Services or by other means. Your continued use of the Services after any changes become effective indicates your acceptance of the revised Terms.

10. Termination

We may terminate or suspend your access to the Services at any time, without prior notice, if we determine that you have violated these Terms or any applicable laws. Upon termination, all licenses and rights granted to you in these Terms will immediately cease.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ontario Canada, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Ontario, and you agree to submit to the personal jurisdiction of such courts.

12.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and invup regarding the Services and supersede all prior agreements and understandings.

12.2 Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

12.3 Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
